Supplier Agreement

The commitments between Southern Sourcing Supply and the suppliers who sell on our platform.

Section 01

Scope & Definitions

This Supplier Agreement (“Agreement”) is between Southern Sourcing Supply LLC (“SSS”, “we”, “us”) and any manufacturer, vendor, wholesaler or distributor (“Supplier”, “you”) that lists products or services on the Southern Sourcing Supply platform (the “Platform”).

This Agreement supplements our Terms of Service and Privacy Policy. If they conflict on a supplier-specific matter, this Agreement prevails.

  • Buyer — a business that sources products through the Platform.
  • Listing — any product, specification, price or media you publish on the Platform.
  • Order — a purchase agreed between you and a Buyer through or as a result of the Platform.
Section 02

Onboarding & Verification

To list on the Platform you must provide accurate company information and, on request, supporting documents including business registration, tax identification and relevant product certifications.

  • We may verify documents, conduct virtual or on-site audits, and run sanctions and compliance screening.
  • Verification status and badges are granted at our discretion and may be withdrawn if information becomes inaccurate.
  • You must notify us within 10 business days of any material change to ownership, certifications or legal status.
Section 03

Listings & Content

You are responsible for the accuracy of every Listing, including specifications, pricing, minimum order quantities, lead times and images.

  • Listings are reviewed before publication and may be edited for format, rejected or removed.
  • You must own or be licensed to use all content you upload, and you grant SSS a non-exclusive, worldwide licence to display it on and in promotion of the Platform.
  • Counterfeit, prohibited, sanctioned or unsafe goods may not be listed.
Section 04

Quotations & Orders

  • Respond to Buyer enquiries within 2 business days.
  • Honour quotations for at least 30 days unless the quote states otherwise or market conditions materially change.
  • Fulfil Orders to the agreed specification, quantity, packaging, Incoterm and delivery date.
  • Inform the Buyer and SSS promptly of any expected delay or deviation.

Unless SSS is expressly named as seller of record, each Order is a contract between you and the Buyer.

Section 05

Quality, Inspection & Compliance

Goods must match approved samples and comply with the laws of the countries of manufacture, export and import as agreed with the Buyer.

  • You will permit reasonable pre-shipment inspections by the Buyer, SSS or an appointed third party.
  • You will comply with export controls, sanctions, anti-bribery and forced-labour laws.
  • You will maintain product liability insurance appropriate to your products where required by law or by the Buyer.
Section 06

Fees & Payment

Subscription fees, transaction fees and service charges are set out on our Pricing & Plans page or in a written order form, which forms part of this Agreement.

  • Transaction fees on Platform-facilitated payments are deducted at settlement.
  • Where escrow is used, funds are released when the agreed release conditions are met.
  • Fee changes are notified at least 30 days in advance.
  • You are responsible for your own taxes, duties and bank charges unless otherwise agreed.
Section 07

Non-Circumvention

For 12 months after a Buyer is first introduced to you through the Platform, you agree not to deliberately move transactions with that Buyer off the Platform to avoid fees. This does not restrict relationships that existed before the introduction.

Section 08

Returns & Disputes

If a Buyer reports goods that are defective, short-shipped or not as described, you will cooperate in good faith to resolve it by replacement, repair, refund or credit.

SSS may mediate disputes and, where escrow is used, hold funds until resolution. Our mediation decisions on escrowed funds are final for the purposes of releasing those funds, without limiting your other legal rights.

Section 09

Confidentiality & Data

Each party will keep confidential the other’s non-public business information. You may use Buyer contact details only to fulfil enquiries and Orders, and must handle personal data in line with applicable data-protection law and our Privacy Policy.

Section 10

Liability & Indemnity

You indemnify SSS against claims arising from your products, Listings, breach of this Agreement or violation of law, including product-liability and intellectual-property claims.

SSS’s total liability under this Agreement is limited to the fees you paid us in the 12 months before the claim. Neither party is liable for indirect or consequential loss.

Section 11

Term & Termination

This Agreement starts when you first list on the Platform and continues until terminated. Either party may terminate on 30 days’ written notice.

We may suspend or terminate immediately for material breach, fraud, sanctions concerns or repeated Buyer complaints. Obligations for open Orders, fees owed, confidentiality and indemnity survive termination.

Section 12

General

This Agreement is governed by the laws of the State of Mississippi, United States. Disputes will first be escalated to senior management of both parties for 30 days before formal proceedings.

We may update this Agreement with 30 days’ notice; continuing to list after that date means you accept the update.
