Acceptance of Terms

By accessing or using the Southern Sourcing Supply platform, website, or any associated services (collectively, the "Platform"), you ("User", "Buyer", "Supplier") agree to be bound by these Terms & Conditions ("Terms"), our Privacy Statement, and any additional guidelines or policies referenced herein.

These Terms constitute a legally binding agreement between you and Southern Sourcing Supply Pte. Ltd. ("Southern Sourcing Supply", "we", "us", "our"), a company incorporated in Singapore. Your continued use of the Platform constitutes acceptance of any modifications to these Terms.

Platform & Services

Southern Sourcing Supply operates a business-to-business (B2B) global sourcing marketplace that connects verified manufacturers, suppliers, and distributors with buyers across the warehousing, logistics, industrial goods, and supply chain sectors.

Our Platform includes:

• A searchable directory of 50,000+ verified suppliers across 180+ countries
• Supplier verification and audit reporting tools
• Request for Quotation (RFQ) and tender management systems
• Trade finance facilitation and payment escrow services
• Logistics coordination and freight tracking integrations
• Communication tools including in-platform messaging and SMS notifications
• Analytics dashboards and sourcing intelligence reports

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice to users where practicable.

Eligibility & Registration

The Platform is intended solely for business use. By registering, you represent and warrant that:

• You are at least 18 years of age and legally authorised to enter binding contracts on behalf of your organisation
• Your organisation is duly registered and operating legally in its jurisdiction of incorporation
• All information provided during registration is accurate, current, and complete
• You will maintain the accuracy of your account information and promptly update it as necessary
• You will safeguard your login credentials and are responsible for all activity under your account

Supplier Standards

Suppliers listed on the Platform must meet and maintain our Verified Supplier Standards throughout the duration of their account. These standards include:

Verification Requirements

• Submission of valid business registration certificates and tax identification numbers
• Completion of our factory audit process (on-site or virtual) for Tier 1 listing status
• Provision of product certifications, compliance documents, and quality management system records (e.g. ISO 9001, CE, REACH)
• Accurate and truthful product listings including specifications, pricing, and minimum order quantities (MOQs)

Ongoing Obligations

• Respond to buyer enquiries within 2 business days
• Honour all quotations and pricing disclosed to buyers for a minimum of 30 days unless market conditions materially change
• Fulfil orders in accordance with agreed specifications, timelines, and quality standards
• Maintain compliance with applicable export control, sanctions, and trade regulations
• Immediately notify Southern Sourcing Supply of any material change to your business operations, certifications, or legal status

Southern Sourcing Supply charges a Platform Fee as specified in your Supplier Agreement. Fee structures are reviewed annually and will be communicated with 30 days' advance notice.

Buyer Obligations

Buyers using the Platform to source goods and services agree to the following:

• Conduct due diligence appropriate to the nature and value of each procurement transaction
• Provide accurate specifications, volumes, and requirements when submitting RFQs or initiating negotiations
• Engage suppliers in good faith and not use the Platform solely to obtain competitive intelligence without genuine purchase intent
• Comply with all applicable import regulations, duties, and customs requirements in your jurisdiction
• Adhere to payment terms agreed with suppliers and the Platform's escrow procedures where applicable
• Report any suspected fraudulent supplier behaviour, counterfeit goods, or quality discrepancies to Southern Sourcing Supply within 72 hours of discovery

Transactions & Payments

Southern Sourcing Supply facilitates connections between buyers and suppliers but is not a party to the underlying purchase contracts unless explicitly stated in a separate Trade Finance or Escrow Agreement.

Payment Terms

• Platform subscription and listing fees are billed monthly or annually in advance in Singapore Dollars (SGD) or US Dollars (USD)
• Transaction fees for escrow-facilitated trades are deducted automatically at point of settlement
• All payments are processed through PCI-DSS compliant payment processors
• Refund requests must be submitted within 14 days of billing and are assessed on a case-by-case basis

Disputes Between Buyers and Suppliers

Southern Sourcing Supply provides a dispute mediation service for transactions conducted through our platform. To initiate a dispute, contact disputes@southernsourcingsupply.com within 30 days of the alleged breach. We will make reasonable efforts to facilitate resolution but accept no liability for the outcome of direct commercial disputes.

SMS Communications

Southern Sourcing Supply may send you SMS (text message) notifications as part of your account activity and platform engagement. By providing your mobile phone number and opting in, you consent to receive SMS messages from Southern Sourcing Supply.

Types of SMS Messages

You may receive the following categories of SMS messages:

• Transactional Alerts: Order confirmations, shipment tracking updates, RFQ responses, quotation expiry reminders, and payment receipts
• Account Security: Two-factor authentication (2FA) codes, login alerts, and password reset notifications
• Platform Notifications: New supplier matches, tender deadline reminders, and document verification status updates
• Service Communications: Scheduled maintenance notices, critical platform updates, and compliance reminders
• Promotional Messages: New platform features, sourcing events, and market intelligence reports (opt-in required separately; max 4/month)

Intellectual Property

All content on the Platform including but not limited to software, databases, text, graphics, logos, icons, and compiled supplier data ("Platform Content") is the exclusive property of Southern Sourcing Supply or its licensors and is protected by Singapore and international intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for their internal business purposes. You may not scrape, crawl, mirror, reproduce, resell, or create derivative works from Platform Content without express written consent.

Supplier and buyer content uploaded to the Platform (product listings, company profiles, documents) remains the intellectual property of the uploading party. By uploading content, you grant Southern Sourcing Supply a non-exclusive, worldwide licence to display and distribute that content within the Platform.

Data & Privacy

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Statement, which is incorporated into these Terms by reference.

By using the Platform, you consent to the processing of your data as described in our Privacy Statement, including the transfer of data to Singapore and other countries where our servers and service providers operate.

We comply with Singapore's Personal Data Protection Act 2012 (PDPA), the EU General Data Protection Regulation (GDPR) where applicable, and industry best practices for data security in cross-border trade environments.

Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable local, national, or international law or regulation
• Circumvent export controls, sanctions lists (OFAC, UN, EU), or trade embargoes
• Engage in fraudulent, deceptive, or misleading trade practices
• List counterfeit, prohibited, or controlled goods
• Harvest or collect other users' contact information without consent
• Introduce malware, viruses, or any code designed to disrupt or harm the Platform
• Attempt to gain unauthorised access to any portion of the Platform or related systems
• Use automated tools to access, scrape, or index Platform data without written permission
• Engage in any activity that could damage the reputation of Southern Sourcing Supply or its users

Limitation of Liability

Southern Sourcing Supply is a marketplace intermediary and is not liable for: (a) the quality, safety, legality, or availability of goods and services listed by suppliers; (b) the accuracy of supplier certifications or audit reports; (c) losses arising from direct commercial transactions between buyers and suppliers; (d) force majeure events including port closures, customs delays, or geopolitical disruptions.

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or freedom from errors.

Indemnification

You agree to indemnify, defend, and hold harmless Southern Sourcing Supply, its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your use of the Platform in violation of applicable laws
• Any fraudulent or wilfully harmful act by you
• Disputes arising from transactions you initiate or participate in through the Platform

Disputes & Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Dispute Resolution Process

1. Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve any dispute by contacting us at legal@southernsourcingsupply.com. We will use reasonable efforts to resolve disputes within 30 days.
2. Mediation: If informal resolution fails, disputes shall be referred to mediation under the Singapore Mediation Centre rules.
3. Arbitration: Unresolved disputes shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its Arbitration Rules.

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction.

Termination

Either party may terminate these Terms and your Platform access at any time. Users may terminate by providing 30 days' written notice to accounts@southernsourcingsupply.com.

Southern Sourcing Supply may suspend or terminate your account immediately and without notice if: (a) you breach any provision of these Terms; (b) we are required to do so by law or regulatory authority; (c) we reasonably suspect fraudulent, abusive, or harmful conduct; or (d) continued provision of services poses a legal or reputational risk.

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) shall remain in effect.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by email to registered account holders and by posting a notice on the Platform at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. We recommend reviewing this page regularly.
